Upon satisfaction of the agreed conditions precedent (merger control, payment of purchase price)which presumably occurs within 1-3 months after the obligation to notify, depending on the requirement of a consent by the merger control authorities. In any case, the satisfaction shall presumably occur not later than 15 months after the obligation to notify. Cipio Partners Fund VIa GmbH & Co. KG is managed by its managing limited partner, Cipio Partners GmbH. Cipio Partners Fund VIa GmbH & Co. KG is represented by its general partner, Cipio Partners Management GmbH, or its managing limited partner, Cipio Partners GmbH. The managing limited partner, Cipio Partners GmbH, is responsible for the specific investment decisions to be made in line with the general type of investments admissible for Cipio Partners Fund VIa GmbH & Co. KG and Cipio Partners Fund VIa GmbH & Co. KG's general investment policy. The investors, i.e., the limited partners, are not entitled to give instructions with respect to the specific investments or the management of Cipio Partners Fund VIa GmbH & Co. KG's assets or to give instructions on the exercise of voting rights. The general partner, Cipio Partners Management GmbH, is a 100% subsidiary of the managing limited partner, Cipio Partners GmbH. Cipio Partners GmbH is owned by Koch Beteiligungs-GmbH, Werner Dreesbach Holding GmbH and TGA Holdings GmbH. Control over Koch Beteiligungs-GmbH is exercised by Dr. Hans-Dieter Koch. Control over Werner Dreesbach Holding GmbH is exercised by Mr. Werner Dreesbach. Control over TGA Holdings GmbH is exercised by Mr. Tom Anthofer.
