Implementation of an equity incentive plan based on conditional capital granting the participants share awards conditional upon future performance over a period of up to 4 years and in the sole discretion of the board of directors. Share awards are envisioned to vest in 10 installments (4 equal installments of base share awards, 6 equal installments of performance share awards, at all times subject to the terms of the plan) upon achievement of sustained share price during a 360 calendar day period using a volume weighted average price (VWAP). Terms and conditions of the plan (including VWAP and timing) are subject to amendment at the discretion of the board of directors. The company holds treasury shares indirectly through two of its subsidiaries, Gate Gourmet Switzerland GmbH and Gate Gourmet, Inc.
