Invitation letter regarding the participation in respect of an equity incentive plan based on conditional capital granting the participants share awards conditional upon future performance over a period of up to 4 years and in the sole discretion of the board of directors. Share awards are envisioned to vest in 10 installments (4 equal installments of base share awards, 6 equal installments of performance share awards, at all times subject to the terms of the plan) upon achievement of sustained share price during a 360 calendar day period using a volume weighted average price (VWAP). Terms and conditions of the plan (including VWAP and timing) are subject to amendment at the discretion of the board of directors.
