Listing On April 20, 2010, Transocean Ltd. (the "Company") listed all of its 335,235,298 issued registered shares, par value of CHF 15 per share (the "Shares"), on SIX Swiss Exchange in accordance with the Main Standard. As of April 14, 2010, the Company owns 1,407,900 own Shares, which had been repurchased under its share repurchase program for cancellation purposes, as authorized by the annual general meeting held on May 15, 2009 (the "Share Repurchase Program"). As of April 14, 2010, the Company further holds 13,558,536 treasury Shares indirectly through its subsidiary Transocean Inc. for use in connection with its existing equity incentive plans. The Company has, under the U.S. leg of its Share Repurchase Program, entered into a repurchase contract on April 9, 2010 in relation to 345,300 Shares, which is expected to be settled on or about April 21, 2010. For purposes of disclosure of beneficial ownership required by the Swiss Federal Act on Stock Exchanges and Securities Trading and the rules and regulations promulgated thereunder, the Company, directly or indirectly through its subsidiary Transocean Inc., thus beneficially owns 15,311,736 Shares or 4.57% of its share capital registered in the commercial register.
