On Dec. 23, 2009 GNR sold the right to subscribe for 730,000 bearer shares of GNR to Nova Bioenergia do Brazil Ltda. (NB). On April 30, 2010 GNR decided to annul the Resolution with retrospective effect and NB agreed to this annulment. GNR and NB agreed to release each other from any obligation stated in the Resolution. The option of 730,000 has been annuled. On April 30, 2010 GNR sold ETICOIL International Holding Ltd. an option to subscribe up to 300,000 formally listed GNR shares out of GNR's conditional capital for a price of CHF 2.00 per share, until May 31, 2010. On April 30, 2010 the convertible bond of GNR to Dr. C. Vallone and Y. Rozenblum of 346,000 GNR shares has expired. This due to the expiration of the exercise period on April 30, 2010 and due to exercise conditions that were not met. With the annulment of the option of 730,000 to NB and the expiration of the convertible bond of 346,000 shares, GNR has fallen below the threshold of 33 1/3.
