Acquisition by Astellas Venture Capital LLC ("AVC") of 11.04% of the outstanding shares of HBM BioVentures AG ("HBM") from OSI Pharmaceuticals Inc. ("OSI"), thereby crossing the 10% ownership treshold in HBM. Please note: As of February 2010, OSI held 10.53% of the outstanding shares of HBM. In September 2010, OSI's percentage ownership in HBM increased to 11.04% due to the capital decrease of HBM by means of cancellation of shares. OSI was acquired by Astellas US Holding, Inc. in June 2010, a direct subidiary of Astellas Pharma Inc ("API"). AVC is an indirect wholly owned subsidiary of API. Accordingly, the transfer of HBM shares from OSI to AVC does not entail a change in beneficial ownership of such shares, as API remains the beneficial owner of the HBM shares. The obligation to notify is rather triggered because, as a consequence of a group internal transfer, there has been a change in the direct/legal owner of the HBM shares (see paragraphs 3 and 4 of article 21 SESTO-FINMA).
