The shares in Absolute Private Equity Ltd. are owned by the following entities (each, a "Fund"): (i) Abrams Capital Partners I, L.P., a Delaware limited partnership - 149, 355 shares; (ii) Abrams Capital Partners II, L.P., a Delaware limited partnership - 1,852,774 shares; (iii) Whitecrest Partners, LP, a Delaware limited partnership - 234,908 shares; and (iv) Great Hollow International, L.P., a Cayman Islands limited partnership - 157, 437 shares.The principal place of business of each Fund is 222 Berkeley Street, 22nd Floor, Boston, MA 02116, USA. The address of the registered office of Great Hollow International, L.P. is M&C Corporate Services Limited, P.O. Box 309 GT, Ugland House, South Church Street, George Town, Cayman Islands. The investment manager of each Fund is Abrams Capital Management, L.P. ("Abrams LP"), a Delaware limited partnership. The general partner of Abrams LP is Abrams Capital Management, LLC ("Abrams LLC"), a Delaware limited liability company. David Abrams is the managing member of Abrams LLC and, in such capacity, Mr. Abrams controls Abrams LLC. The principal place of business of Abrams LP and Abrams LLC is 222 Berkeley Street, 22nd Floor, Boston, MA 02116, USA. Pursuant to an investment agreement between each Fund and Abrams LP, Abrams LP makes all investment decisions and exercises all voting rights on behalf of the Funds.
