Singer, through entities controlled by him, including Elliott Capital Advisors, L.P. and Elliott International Capital Advisors Inc, has the ultimate right to give instructions with respect to specific Investments or the management of assets or to give instructions on the exercise of voting rights. Elliott International Capital Advisors Inc. is controlled by Paul E. Singer. Elliott Management Corporation is wholly owned by Elliott Capital Advisors, L.P. The general partners of Elliott Capital Advisors, L.P. are (i) Paul E. Singer, (ii) Braxton Associates, Inc., which is controlled by Paul E. Singer, and Elliott Asset Management LLC, which is controlled by Paul E. Singer, an (iii) Elliot Asset Management LLC, which is controlled by Paul E. Singer. The sole general partner of The Liverpool Limited Partnership is Liverpool Associates Ltd., which is controlled by Elliott Associates, L.P. The general partners of Elliott Associates, L.P. are(i) Paul E. Singer, and (ii) Elliott Capital Advisors, L.P., and (iii) Elliott Special GP, LLC. The managing members of Elliott Special GP, LLC are (i) Paul E. Singer, and (ii) Elliott Capital Advisors, L.P. The sole general partner of Elliott International, L.P. is Hambledon Inc., which is controlled by Elliott Capital Advisors, L.P. The Investors (limited partners) have no right to give instructions with respect to specific investments or the management if assets or to give instructions on the exercise of voting rights.
