Company shares tendered for acquisition according to the offer prospectus of April 20, 2011 According to the definitive final result per the end of the additional tender period on June 27, 2011 as published on July 1, 2011, totally 6'947'578 shares (e.g. 65.39 % of the voting rights) have been tendered into NIBE Industrier AB (publ.)'s public tender offer. Together with the 3'307'956 shares (i.e. 31.13 % of the voting rights) acquired based on separate share purchase agreements of April 10, 2011 with Rudolf Kägi, Paul O. Rutz, Gabriela Rutz, Andrea Malär and MBM Management-Beratung AG, NIBE Industrier AB (publ.) will acquire as per the closing date totally 10'255'534 shares (i.e. 96.52 % of the voting rights). The closing is subject in particular to the legal effect of the competent authority's decision that the transaction does not qualify as an acquisition of real estate according to the Federal Act on Acquisition of Real Estate by Persons Abrod ("Lex Koller"), and subject to the other remaining formal closing conditions provided in the offer prospectus of April 20, 2011 and still reserved the publication of the definitive final result of July 1, 2011. The closing is expected to take place on July 29, 2011.
