THE LIVERPOOL LIMITED PARTNERSHIP (DIRECT BUYER 1): - The sole general partner of The Liverpool Limited Partnership is Liverpool Associates Ltd., of which the sole shareholder is Elliott Associates, L.P. - The general partners of Elliott Associates, L.P. are (i) Paul E. Singer, (ii) Elliott Capital Advisors, L.P., and (iii) Elliott Special GP, LLC. - The general partners of Elliott Capital Advisors, L.P. are (i) Paul E. Singer, (ii) Braxton Associates, Inc., of which Paul E. Singer is a director, and (iii) Elliott Asset Management LLC, of which Paul E. Singer is the managing member. - The managing members of Elliott Special GP, LLC, are (i) Paul E. Singer, and (ii) Elliott Capital Advisors, L.P. ELLIOTT INTERNATIONAL, L.P. (DIRECT BUYER 2): - The sole general partner of Elliott International, L.P. is Hambledon Inc., which has entered into an investment management agreement with Elliott International Capital Advisors Inc. to provide investement management services to Elliott International, L.P. - Elliott International Captial Advisors Inc. has Paul E. Singer as its sole director. - Elliott Management Corporation is a servicer to Elliott International, L.P. and The Liverpool Limited Partnership that assists in fulfilling the reporting obligations of Elliott International, L.P. and The Liverpool Limited Partnership to various regulators. Elliott Advisors (UK) Ltd. acts as sub-servicer to Elliott International, L.P. and The Liverpool Limited Partnership by in turn assisting Elliott Management Corporation in completing such reporting obligations.
