Undertaking of Cargill, Incorporated to subscribe Evolva shares in an amount of USD 4,000,000 in connection with a capital increase involving the issuance and placement of up to 46 million new shares. The subscription price of the new Evolva shares, and consequently the exact number of Evolva shares acquired by Cargill, will be known at the date of the capital increase (the number of shares subscribed by Cargill, Incorporated will indeed depend on the final subscription price that will be known the day of the capital increase, such a price being calculated over a 30-day period).
