Each investor has undertaken severally, not jointly, to exchange its shares in Kuros against shares in Cytos as outlined in the combination agreement between Cytos and Kuros dated December 1, 2015, and subject to the terms and conditions set forth therein. At the closing of the transaction, Cytos is expected to issue between 353,006,886 new registered shares (assuming 90% of Kuros shares are exchanged for new Cytos shares) and 392,229,873 new registered shares (assuming 100% of Kuros shares are exchanged for new Cytos shares). Accordingly, the number of shares/voting rights pursuant to the entry in the commercial register will be between 461,022,162 and 500,245,149 at the time the investors will actually become shareholders in Cytos. It is expected that the investor will hold between 9.48% and 10.28% total equity securities and purchase positions post closing. Gabriel Eckenstein is the chairman of the board of trustees (Stiftungsrat) of the Eckenstein-Geigy-Stiftung.
