1. On 4 May 2016, Drawbridge Special Opportunities Fund LP ("Drawbridge"), entered into a sale and purchase agreement with GP Swiss Ltd, Zug, Switzerland ("GPS") under the terms of which Drawbridge agreed to sell its shares in Spice Private Equity Ltd to GPS. It is contemplated that the sale and purchase of the Spice Private Equity Ltd shares will be completed on 29 June 2016. At the annual general meeting of Spice Private Equity Ltd that is expected to take place on 28 June 2016, Drawbridge will either allow GPS to vote the shares that Drawbridge holds in Spice Private Equity Ltd at GPS's discretion or will vote such shares as instructed by GPS at the full discretion of GPS. 2. Put/Call option structure with regard to 717,266 shares in Spice Private Equity AG between Drawbridge Special Opportunities Fund LP and Spice Private Equity AG will lapse upon completion of the sale transaction notified herewith. 3. Date of transfer of equity securities: expected on 29.06.2016
