Creation of a group in connection with the following arrangements: tender, vote and standstill undertaking (Jean-Paul Clozel and Janssen Holding GmbH, 6300 Zug, Switzerland, indirectly held by Johnson & Johnson, New Brunswick, New Jersey 08933, United States); transaction agreement (Actelion Ltd and Johnson & Johnson, New Brunswick, New Jersey 08933, United States, Cilag Holding AG, 6300 Zug, Switzerland, and Janssen Holding GmbhH, both indirectly held by Johnson & Johnson), in connection with Janssen Holding GmbH's pre-announced public tender offer for all publicly held registered shares of Actelion Ltd, as disclosed in a separate notification published on the same date as this disclosure. As a result of the creation of the group, the individual shareholding of the single shareholder fell below 3%.
