On January 4, 2018, and January 9, 2018, LumX Group Limited granted conversion rights to two lenders who had extended loans in the amount of USD 530,000 and USD 470,000 respectively. Each lender has the right to convert its respective principal amount of the loan and the interest accrued as per the date of the conversion into shares of LumX Group Limited. The conversion entitles the lenders to receive a number of shares corresponding to the principal amount of the loan and the interest accrued divided by the lower value between (A) CHF 0.30 (in the case of the first loan) and CHF 0.2625 (in the case of the second loan), respectively, and (B) the share price as per the date of conversion. In the case of the first loan, the disclosed number of shares assumes that an amount of USD 543,029, corresponding to CHF 529,392 (assuming an exchange rate USD/CHF of 1.02576), will be converted into shares at a price of CHF 0.30 on 30 June 2018. In the case of the second loan, the disclosed number of shares assumes that an amount of USD 486,058, corresponding to CHF 480,447 (assuming an exchange rate USD/CHF of 1.01168), will be converted into shares at a price of CHF 0.2625 on August 31, 2018.
