CEVA Logistics AG

On 13 August 2018, the mandatory convertible securities issued by CEVA Logistics AG to CMA CGM S.A. were mandatorily converted into registered shares of CEVA Logistics AG. On 19 April 2018, CEVA Logistics AG and CMA CGM S.A. entered into a relationship agreement concerning the investment of CMA CGM S.A. in CEVA Logistics AG, in which CMA CGM S.A. agreed, inter alia, to vote all shares held by it directly or indirectly in any ordinary and extraordinary shareholders' meeting of CEVA Logistics AG in favour of the candidates for the board proposed by the board of directors. As a consequence, CEVA Logistics AG and CMA CGM S.A. are deemed to be acting in concert for purposes of the disclosure of shareholdings pursuant to art. 120 et seqq. FMIA. Going forward, CEVA Logistics AG will report purchase and sale positions together with Rodolphe Jacques Saadé, Tanya Saadé Zeenny and Jacques Junior Saadé, who are the beneficial owners of CMA CGM S.A.
