Ferguson plc

The Ferguson group intends to undergo a corporate reorganization as a result of which Ferguson Newco plc will become the beneficial owner of 29.21% of the share capital and voting rights of Meier Tobler Group AG which shares are at present beneficially owned by Ferguson plc. The new corporate structure will be implemented using a scheme of arrangement under article 125 of the Companies (Jersey) Law 1991. Approvals for the proposals will be sought from shareholders at a general meeting held on or around April 29, 2019 and the scheme of arrangement will also require the sanction of the Royal Court of Jersey. If approved, the new structure is planned to be implemented and become effective on May 10, 2019. As part of the reorganization, Ferguson plc will be re-named into Ferguson Holdings Limited and Ferguson Newco plc. will be re-named into Ferguson plc.
