Peter Spuhler

Peter Spuhler (holder of 11,000,000 shares and voting rights) and PCS Holding AG (holder of 30,513,372 shares and voting rights; beneficial owner is Peter Spuhler) are voluntarily providing an update of their shareholdings in Stadler Rail AG to reflect the most recent acquisition of PCS Holding AG of 1,500,000 shares and voting rights (representing 1.5% of the shares and voting rights in Stadler Rail AG) acquired from RSBG SE on 26 May 2020 and as announced by RAG-Stiftung (beneficial owner of RSBG SE) on 27 May 2020. In addition, in connection with the IPO of Stadler Rail AG, Peter Spuhler and PCS Holding AG (beneficial owner is Peter Spuhler) have agreed that their combined shareholding will not fall below 30% until 12 April 2022 (36 months after the IPO). Counterparties of the lock-up undertaking are the Managers (banks) in the IPO. Person subject to voluntary reporting is Spuhler, Peter; 8532 Warth-Weiningen, Switzerland (both as (i) individual shareholder and (ii) beneficial owner of PCS Holding AG (see part 2) Peter Spuhler, 8532 Warth-Weiningen, Switzerland, is the beneficial owner; see part 1.
