AI Louvre (Cayman) Limited and Dufry AG entered into a commitment letter according to which AI Louvre (Cayman) Limited committed to purchase up to 15,614,035 shares at CHF 28.50 per share in Dufry, subject to certain conditions, in particular the approval by Dufry's shareholder meeting for the ordinary capital increase, and its final participation depends, among others, on the size of the rights offering and the extent to which existing shareholders exercise pre-emptive rights in the subsequent rights offering.
