SHL Telemedicine Ltd

In connection with two upcoming capital increases (a First Closing expected in the beginning of 2021 and a Second Closing expected some weeks after, dates yet to be determined), SHL Telemedicine Ltd. (SHL) has signed share purchase agreements (SPAs) with investors on the placement of a total of 3,888,898 SHL shares (300,000 treasury shares and 3,588,898 new shares to be issued from authorized capital). The placements, which are subject to certain conditions, shall be effectuated in two tranches of 1,600,016 shares at the First Closing (including the 300,000 treasury shares, causing SHL's holding of own shares to drop below 3%, and 1,300,016 new shares) and 2,288,882 new shares at the Second Closing. Additionally, for every two acquired SHL shares the SPAs grant one option to purchase one further SHL share, amounting to a total of 1,944,449 options.
