Option to receive USD 8.5 million in cash or the same value (subject to certain conditions with a 10% premium) in up to 4'000'000 registered shares to be newly issued of New Value Ltd. with a nominal value of CHF 1.00 (the Shares) based on the Share value at the time of the exercise notice, as consideration in connection with a share deal. If no choice is made by January 31, 2022, the counterparty receives the option to deliver the same amount of cash or Shares (with premium). Heracles PTC Limited is the trustee of Achilles Trust.
