Acquisition of (i) 124,475,430 new registered shares with a par value of CHF 0.10 each in Talenthouse AG ("B-Shares") to be created as part of a planned ordinary capital increase (with simultaneous reduction of the par value of the existing registered shares to CHF 0.02 each) ("Planned Capital Increase"), by offsetting liabilities, and (ii) 25,000,000 B-Shares in the realm of a convertible loan. Granting of a warrant/call option in relation to B-Shares, after having been split according to the ration 1:5 ("Single Class Shares"), as this is planned by the Company at a later stage after implementation of the Planned Capital Increase.
