Esmertec AG acquiring 100% of the shares of Purple Labs SA, a company in which Partners Group Access 27 L.P. is an existing shareholder, in exchange for shares of Esmertec AG to be created by a future capital increase; the calculation base of the holding of Esmertec shares is the number of shares registered in the Commercial Registry of the Canton of Zurich, as the capital increase of Esmertec is not realized yet; the share transfer is expected by end of March 2009; All of the six shareholders listed above are managed by entities which are directly/indirectly managed by Partners Group Holding AG, Baar;
