Oerlikon Lenders' Group

The Oerlikon Lenders' Group (group consisting of the lenders and sub-participants under the Facility Agreement, dated 31 March 2010 ["New Facility Agreement"]) does no longer exist because of (i) the fact that the acquisition group due to the Underwriting Scenario does no longer exist; (ii) the fact that the Lock-up-group does no longer exist since the expiry of the lock-up arrangements on August 8, 2010; (iii) the assumption that following the capital increase and execution of the New Facility Agreement the financial situation of OC Oerlikon Corporation AG, Pfäffikon ("Company") is no longer under distress; and (iv) the implied confirmation of the lenders and sub-participants that they do not coordinate the exercise of the voting rights in the shares of the Company held by the Lenders' Group because of the New Facility Agreement. Only the Governance Scenario is still in force, however, in this regard, an exemption was granted by the Disclosure Office.
