Aravis Venture I LP

On December 13, 2010 the members of the group (the Lock-up Group) have agreed to partially extend the lock-up undertaking entered into prior to the merger between Arpida Ltd. (now Evolva Holding SA) with Evolva SA with regard to a part of their shares in Evolva Holding SA (the Shares) and conversion rights (as previously disclosed). On 30 May 2011, the participants in Danske Innovationsinvestering (DI), one of the members of the Lock-up Group, decided to liquidate the DI fund and distribute the Evolva shares to its shareholders: Vaekstfonden and A/S A/S Dansk Erhvervsinvestering. On 8 July 2011, Evolva completed the acquisition of Abunda Nutrition, Inc. ("Abunda"). This was executed through a share swap, leading to the issue of 25 million new Evolva shares to the shareholders of Abunda. The former Abunda shareholders acceded to the Lock-up and Coordinated Sale agreement of 13 December 2010, and amended on 17 May 2011. This has led to the increase of the Lock-up Pool by 11,612,138 Evolva shares as well as a change in the composition of the Lock-up Group - triggering the present disclosure.
