Date of transfer expected by the end of March 2012 As part of the sale of a business from Cephalon to Acino Holding AG, a portion of the purchase price to be paid by Acino would be satisfied by the issuance of EUR 20 million of Acino Holding AG shares at the market price per share based on the volume weighted average price on the trading day prior to the closing of the transaction (share have not yet been issued nor acquired). The parties intend to have the shares issued to unaffiliated third parties as part of the transaction, and assuming the successful completion of the share sale, the proceeds of such sale would be for the benefit of Cephalon, Inc. as consideration for the business sale and neither Cephalon nor any of its affiliates would become shareholders of Acino. Percentage of voting rights: Max. 8.74% (estimate) The numerator is based on the issuance of EUR 20 million of shares (CHF 24,762,000, based on an exchange rate of EUR 1.00:CHF 1.2381) which would comprise approximately 278,851 shares based on the closing share price on November 14, 2011 of CHF 88.80/share. According to applicable regulations, the denominator is based on the current (non-diluted) total number of voting rights pursuant to the entry in the commercial register (3,192,000). Shares have not yet been issued nor acquired, and the parties intend for the shares to be issued to unaffiliated third parties as part of the transaction.
