Acquisition of shares by MassMutual Baring Holdings LLC, MassMutual Holdings (Bermuda) Limited and Baring Asset Management Limited, on behalf of their clients, resulted in a change to the group composition for MassMutual. Oppenheimer Funds Inc., OFI Trust Company (based on delegation to its parent, OFI Institutional Asset Management Inc.), and OFI Institutional Asset Management, Inc are investment managers that independently exercise their respective voting powers on behalf of the clients and investment funds whose assets they are managing (Art. 9 para. 2 SESTO-FINMA). The 5.9833% holding of Oppenheimer International Growths Fund is included in the total holding reported by MassMutual in the present notification. MassMutual is the parent company of several subsidiaries, including for purposes of this matter, MassMutual Holdings LLC, MM Asset Management Holding LLC,Oppenheimer Acquisition Corp., OppenheimerFunds, Inc., OFI Trust Company, OFI Institutional Asset Management,Inc., MassMutual Baring Holdings LLC, MassMutual Holdings (Bermuda) Limited, Baring Asset Management Limited and Baring Fund Managers Limited. MassMutual Holding LLC is a holding company for certain MassMutual subsidiaries, including MM Asset Management Holding LLC. MM Asset Management Holding LLC is a holding company for certain MassMutual subsidiaries, including Oppenheimer Acquisition Corp and MassMutual Baring Holding LLC. Oppenheimer Acquisition Corp is the holding company for certain MassMutual subsidiaries, including OppenheimerFunds, Inc. OppenheimerFunds, Inc. is the direct parent company of OFI Institutional Asset Management, Inc. OFI Institutional Asset Management, Inc.is the direct parent company of OFI Trust Company.
