Change in the structure by which control is exercised (a new entity - GP Cash Management Ltd. - entered the structure) Messrs. Bonchristiano and Lambranho are parties to a shareholders agreement relating to Partners Holdings, Inc. ("PH") with registered offices in Commerce House, Wickhams Cay 1, P.O. BOX 3140, Road Town, Tortola/British Virgin Islands, each of them holding 41.91% of the voting rights in PH, which in turn holds 100% of the voting shares in GP Investments Ltd. ("GPI") with registered offices at lngham & Wilkison Building, 129 Front Street, Penthouse, Suite 3, Hamilton, Bermuda. GPI in turn holds 100% of GP Lux HoldCo S.à.r.l. with registered offices at 15, rue Edward Streichen, L-2540 Luxembourg, Luxembourg, which in turn holds 100% of GP Swiss Ltd. (formerly GP Secondaries Investment Company (Switzerland) Ltd.) ("GPS") with registered offices at Alpenstrasse 15, CH-6300 Zug, Switzerland. In adddition, GPI holds 100% of GP Cash Management Ltd ("GPCM") with registered offices at Bahamas Financial Centre, Shirley and Charlotte Streets, Nassau, Bahamas. Mr. Richard Lichter is the sole member of Newbury Associates LLC ("Newbury Associates"), which has a registered office at c/o The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington, Delaware 19801. Newbury Associates is the sole manager of Newbury Equity Partners II GP LLC ("GPLLC"), which has a registered office at c/o The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington, Delaware 19801. GPLLC is the sole general partner of Newbury Equity Partners II GP L.P. ("GPLP"), which has a registered office at c/o The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington, Delaware 19801. GPLP is the sole general partner of Newbury Equity Partners II L.P. ("NEP II"), which has a registered office at c/o The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington, Delaware 19801. NEP II is the sole shareholder of Newbury Holdings A Ltd (the "Newbury Holdings"), which has a registered office at c/o Maples Corporate Setvices Limited, P0 Box 309, Ugland House, Grand Cayman, KY1-1104, Cayman Islands. GPS, GPCM and Newbury Holdings are the direct holders of the positions.
