The Group was formed before the listing and was disclosed in the prospectus. The Shareholders Agreement is controlled by Freesailors. Freesailors has five members, Fabio Cannavale, Vulcano S.r.l., Consortium Real Estate S.A., Lombard International Assurance S.A. (4 Rue Lou Hemmer, L-1748 Luxembourg, Luxembourg), and Redpill S.r.l. (Via Luigi Capranica 18, Milan, Italy). Each has one vote on all resolutions to be taken by the general meeting of Freesailors. All resolutions of the members of Freesailors require a majority of the votes cast. Mr. Fabio Cannavale controls Vulcano S.r.l., Via Olmetto 1, Milan, Italia, and Consortium Real Estate S.A., Rue Royale 97, Brussels, Belgium. He therefore also controls Freesailors. Redpill is controlled by Mr. Marco Corradino who is a co-founder of the Company. Micheli Associati is controlled by Francesco Micheli. Arepo holds on behalf of Francesco Signoretti part of Signoretti's holding in the Company. Kikiz is fully controlled by Mr. Arnaud Cohen Scali. Bigfoot Tech is fully controlled by Mr. Antoine Michelat. Dongiro is fully controlled by Mr. Jerome Cohen Scali.
