Extension of the group, crossing of the 25% threshold (upwards) on 7 July 2014, and crossing of the 5% threshold on 7 July 2014 with respect to the short position TRAVEL RETAIL INVESTMENT S.C.A. holds all the shares and financial instruments attributable to the group with the exceptions mentioned further below. Travel Retail Investment S.C.A. is held as follows: Petrus PTE Ltd holds the majority of the shares in TRAVEL RETAIL INVESTMENT S.C.A. and the majority of the shares in Travel Retail S.a r.i., which is the general partner and sole manager of TRAVEL RETAIL INVESTMENT S.C.A. Petrus PTE Ltd, is held by the revocable The Bingo Trust, New Zealand; Mr. Andres Holzer Neumann is the settlor of The Bingo Trust and exercises indirect control over The Bingo Trust. TRAVEL RETAIL INVESTMENT S.C.A. holds part of the shares and all financial instruments. WITHERSPOON INVESTMENTS LLC is entirely held directly by Mr. Juan Carlos Torres. Witherspoon Investments LLC holds a minority of shares in Travel Retail S.a r.I. and in TRAVEL RETAIL INVESTMENT S.C.A. Mr. Julian Diaz Gonzalez holds directly a minority interest in TRAVEL RETAIL INVESTMENT S.C.A.and a minority of shares in Travel Retail S.a r.l. EXEPTIONS FROM SHARES HELD THROUGH TRAVEL RETAIL INVESTMENT S.C.A.: Mr. Julian Diaz Gonzalez holds certain shares in Dufry AG directly. Mr. Torres holds certain shares in Dufry AG directly. Mr. Andres Holzer Neumann holds a number of shares directly. The remaining shares attributable to Mr. Holzer are directly held by (i) Petrus Pte., Ltd. (ii) CONSORCIO METROPOLITANO INMOBILIARIO, S.A. de C.V.; INMOBILIARIA COAPA LARCA, S.A. de C.V.; Holzer y Cia, S.A. de C.V.; Negocios Creativos, S.A. de C.V.; and Inmobiliaria Castellanos, SA de CV. All of these companies are directly held by GRUPO INDUSTRIAL OMEGA, S.A. de C.V., which is controlled by Mr. Andres Holzer Neumann. (iii) GRUPO INDUSTRIAL OMEGA, S.A. de C.V. - Mr. James S. Cohen holds all his shares partly directly, partly through HUDSON MEDIA, INC., which he controls. - JAMES S. COHEN FAMILY DYNASTY TRUST holds all its shares directly. Mr. James S. Cohen is the Grantor of this irrevocable trust and is entitled to remove or replace the Trustee and appoint a successor Trustee provided such successor Trustee is independent and not related to the Grantor or any Trustee under the terms of the Trust Instrument. Mr. James S. Cohen is not a beneficiary of the trust. - Mr. Dimitrios Koutsolioutsos holds shares in Dufry AG and financial instruments relating to shares in Dufry AG indirectly through Foili Follie Commercial Industrial and Technical S.A. and Strenaby Finance Ltd., which is a company fully controlled by Folli Follie Commercial Industrial and Technical S.A. Mr. Dimitrios Koutsolioutsos controls Foili Follie Commercial Industrial and Technical S.A. according to Greek law. Mr. Dimitrios Koutsolioutsos holds shares in Folli Follie Commercial Industrial and Technical S.A. directly and indirectly through Cordial Worldwide Ltd. Cordial Worldwide Ltd is fully owned by Mr. Dimitrios Koutsolioutsos. There are now three shareholders agreements: -Shareholders Agreement among Petrus Pte., Ltd., WITHERSPOON INVESTMENTS LLC, Mr. Julian Diaz Gonzalez, Mr. Juan Carlos Torres and Travel Retail S.a.r.l. Shareholders Agreement between TRAVEL RETAIL INVESTMENTS S.C.A. and James S. Cohen, JAMES S. COHEN FAMILY DYNASTY TRUST, and HUDSON MEDIA, INC. Shareholders Agreement between TRAVEL RETAIL INVESTMENT S.C.A. and Folli Follie Commercial Industrial and Technical S.A.
