Listing of the shares of Molecular Partners Ltd.; creation of a lock-up group pursuant to the underwriting agreement dated October 7, 2014, between Molecular Partners Ltd., J.P. Morgan Securities plc (as global coordinator), UBS AG (as joint lead manager and together with J.P. Morgan Securities, the "Joint Bookrunners"), Cowen and Company, LLC (as co-manager) and Bank am Bellevue AG (as co-manager). These banks are the counterparty to the lock-up undertaking of the group members. The duration of the lock-up is until August 4, 2015. However, during the last three months of the term of the lock-up, the Joint Bookrunners may at any time fully or partially terminate the lock-up in their sole discretion, with the restriction that any sale of shares or other securities that were subject to the lock-up must be effected by way of a block-trade or book-building through the Joint Bookrunners. - Index Ventures Associates IV Limited holds its shareholding through Index Venture IV (Jersey), L.P., Index Ventures IV Parallel Entrepreneur Fund (Jersey) L.P. and Yucca (Jersey) SLP; Index Ventures Associates IV Limited is the managing general partner of the direct shareholders and manages and controls the voting rights. - Essex Woodlands Health Ventures LLC holds its shareholding through Essex Woodlands Health Ventures Fund VIII L.P., Essex Woodlands Health Ventures Fund VIII-A L.P. and Essex Woodlands Health Ventures Fund VIII-B L.P.; Essex Woodlands Health Ventures LLC is the general partner of the direct shareholders, and manages and controls the voting rights. - Johnson and Johnson holds its shareholding trough Johnson & Johnson Development Corporation; Johnson & Johnson is the direct parent company of Johnson & Johnson Development Corporation. - BB Biotech Ventures GP (Guernsey) Limited holds its shareholdings through BB Biotech Ventures II L.P.; BB Biotech Ventures GP (Guernsey) Limited is the general partner of BB Biotech Ventures II L.P. and manages and controls the voting rights. - Endeavour Partners GP Limited holds part of its shareholdings through Endeavour II (Guernsey) L.P.; Endeavour Parners GP Limited is the manager of the voting rights of Endeavour II (Guernsey) L.P.
