Lock-up group former Allylix securityholders

Release of part of the shares in Evolva Holding SA from the lock-up agreement concluded in the context of the acquisition of Allylix Inc., a Delaware company, by Evolva Holding SA in a share exchange transaction. The lock-up undertakings regarding the remanining shares are expected to last for a maximum of 12 months after the closing of the share exchange transaction Remark: Allylix Inc. and the securityholders of Allylix Inc. have been granted an easing from the requirements of art.22 para.1 SESTO-FINMA by recommendtaion of the Disclosure Officed of 8 December 2014 BASF SE's (respectively BASF Venture Capital GmbH's) percentage of voting rights in Evolva Holding SA locked in the group has fallen below 3% due to release of part of the shares from the lock-up agreement. The number of group members has risen from seven group members to eighty-two group members. Deutsche Bank National Trust Company, 1761 E. St. Andrew Place, Santa Ana, California 92705, USA, holds the shares in Evolva Holding SA through its sub-custodian, Pershing LLC, 1 Pershing Plaza, Jersey City, New Jersey 073999, USA, in its name but on behalf of the group members (nominee relationship)
