Securities lending agreement entered into between Recharge ApS and GREEN TOWERS Holding Switzerland AG regarding 750'000 shares in Leclanché SA. Inclusion of GREEN TOWERS Holding Switzerland AG and Christoph Dietsche into the Recharge Group. Change of Recharge ApS to Recharge AS ---- The entries in respect of number and voting rights shown in this table show the aggregate of (a) the shareholding of Recharge AS in Leclanché as of the date of this notification and (b) the 3'000'000 Leclanché shares which is the maximum number of shares that the Recharge Group may acquire, based on a right of first refusal granted by Leclanché to take up any pre-emption rights not exercised by existing shareholders in capital increases of Leclanché, in connection with the ordinary capital increase of Leclanché in the amount of CHF 4'500'000 resolved by the extraordinary general meeting of shareholders of 5 January 2015. The maximum number of 3'000'000 Leclanché shares assumes that no existing shareholder of Leclanché would exercise its pre-emptive rights and that Recharge would make use of its right of first refusal with regard to all pre-emptive rights not exercised by existing shareholders. The entries in respect of number and voting rights shown in this table show the aggregate of (a) the shareholding of Recharge AS in Leclanché as of the date of this notification and (b) the 3'000'000 Leclanché shares which is the maximum number of shares that the Recharge Group may acquire, based on a right of first refusal granted by Leclanché to take up any pre-emption rights not exercised by existing shareholders in capital increases of Leclanché, in connection with the ordinary capital increase of Leclanché in the amount of CHF 4'500'000 resolved by the extraordinary general meeting of shareholders of 5 January 2015. Relationship between beneficial owners and direct owners of conversion rights and shares (the "Recharge Group"): - Recharge AS (formerly Recharge ApS) is an investment company limited by shares, incorporated under the laws of Denmark and having its seat at Frederiksgade 21, 1st Floor, 1265 Copenhagen, Denmark. - 0.12% of the shares and voting rights in Recharge AS are held by Wacam Investments ApS, an investment company limited by shares, incorporated under the laws of Denmark and having its registered office at c/o Macaw, Strandagervej 18, 2900 Hellerup, Denmark. - 40% of the shares and voting rights in Wacam Investments ApS are held by Scott Campbell Macaw and 60 % of the shares and voting rights in Wacam Investments ApS are held by Stephen Macaw. - 0.12% of the shares and voting rights in Recharge AS are held by Nora Trading Limited, a company limited by shares, incorporated under the laws of New Zealand and having its registered office at 6 Viaduct Harbour Avenue, 1010 Auckland, New Zealand. - 100% of the shares and voting rights in Nora Trading Limited are held by Robert Aron Robertsson. - 99.76% of the shares and voting rights in Recharge AS are held by Recharge Holdings Limited, a limited company, incorporated under the laws of New Zealand and having its registered office at 6 Viaduct Harbour Avenue, 1010 Auckland, New Zealand. - 50% of the shares and voting rights in Recharge Holdings Limited are held by Wacam Investments ApS and 50% of the shares and voting rights in Recharge Holdings Limited are held by Nora Trading Limited. - GREEN TOWERS Holding Switzerland AG (CHE-244.656.307) is an investment company limited by shares, incorporated under the laws of Switzerland, having its registered seat at Baarerstrasse 80, 6300 Zug, Switzerland, and borrowing 750'000 shares in Leclanché SA due to a securities lending agreement entered into with Recharge ApS. - Christoph Dietsche, from Niederdorf, currently in Zug, Switzerland, is the sole member of the board of directors of GREEN TOWERS Holding Switzerland AG and has a long term professional and personal relationship with Scott Campbell Macaw.
