Pursuant to a Letter Agreement dated February 21, 2016, In order to support the completion of the transactions contemplated by the share purchase agreement dated February 21, 2016 between BTG as seller and EFG International AG as buyer regarding the sale and purchase of all shares of BSI SA, EFG Bank European Financial Group S.A. undertook, Inter alia, to vote in favor of the capital Increase required for completing the transaction and the election of members of the board of directors as have been nominated by BTG. Therefore, the existing shareholders group has been terminated and a new shareholders group has been formed as of February 21, 2016 (see separate disclosure notification of February 25, 2016).
