1. Lock-up The Capvis Selling Shareholders, the PG Selling Shareholders and the Other Selling Shareholders have each entered into lock-up undertakings with UBS AG and Credit Suisse AG (acting on behalf of the Managers), in each case with respect to all Shares held by them. The lock-up undertaking of the 3 Other Selling Shareholders will expire six months following the First Day of Trading (i.e., on October 14, 2016). The lock-up undertaking of the Capvis Selling Shareholders and the PG Selling Shareholders will expire on 4 December 2016. 2. Shareholders Agreement The Capvis Selling Shareholders and the PG Selling Shareholders have entered into a shareholders agreement.
