Cohen holds all his shares partly directly, partly through HUDSON MEDIA, INC,which he controls, and partly through JLC Investments, LLC, One Meadowlands Plaza, 9th Floor, East Rutherford, NJ 07073, United States of America, which he controls. - JAMES S. COHEN FAMILY DYNASTY TRUST holds all its shares directly. Mr. James S. Cohen is the Grantor of this irrevocable trust and is entitled to remove or replace the Trustee and appoint a successor Trustee provided such successor Trustee is independent and not related to the Grantor or any Trustee under the terms of the Trust Instrument. Mr. James S. Cohen is not a beneficiary of the trust. - Mr. Dimitrios Koutsolioutsos holds shares in Dufry AG and financial instruments relating to shares in Dufry AG indirectly through Folli Follie Commercial Industrial and Technical S.A and Strenaby Finance Ltd which is a company fully controlled by Folli Follie Commercial Industrial and Technical S.A. Mr. Koutsolioutsos controls Folli Follie Commercial Industrial and Technical S.A. according to Greek law. Mr. Koutsolioutsos holds shares in Folli Follie Commercial Industrial and Technical S.A. directly and indirectly through Cordial Worldwide Ltd, a company incorporated under the laws of the British Virgin Islands and having its registered office at Road Town, Tortola, British Virgin Islands. Cordial Worldwide Ltd is fully owned by Mr. Koutsolioutsos. - NUCLEO CAPITAL CO-INVESTMENT FUND I LTD, holds equity security in Dufry AG directly. There are now four shareholders agreements: - Shareholders Agreement among Petrus Pte, Ltd., WITHERSPOON INVESTMENTS LLC, Mr. Julian Diaz Gonzalez, Mr. Juan Carlos Torres and Travel Retail S.à r.l. - Shareholders Agreement between TRAVEL RETAIL INVESTMENT S.C.A. and James S. Cohen, JAMES S. COHEN FAMILY DYNASTY TRUST, and HUDSON MEDIA, INC. - Shareholders Agreement between TRAVEL RETAIL INVESTMENT S.C.A. and Folli Follie Commercial Industrial and Technical S.A. - Shareholders Agreement among TRAVEL RETAIL INVESTMENT S.C.A., Juan Carlos Torres, and Nucleo Capital Co-Investment Fund I Ltd. Nucleo Capital Ltda. is only a party to that agreement as investment manager of Nucleo Capital Co-Investment Fund I Ltd. Travel Retail Investment SCA, Juan Carlos Torres, Nucleo Capital Co-Investment Fund I Ltd., Nucleo Capital Ltda., James S. Cohen, James S. Cohen Family Dynasty Trust, Hudson Media, Inc., Follie Follie Commercial Industrial and Technical S.A. entered into an additional agreement that limits the number of equity securities (to prevent that a mandatory offer threshold is crossed) these parties and their affiliates may hold in Dufry AG, and provides for an automatic exclusion of shareholders from the group reported herein in case of a breach of such a limit. Under this additional agreement, Nucleo Capital Ltda. has to make sure that other funds for which it is the investment manager comply with such limit as well. These funds include: Nucleo Master FIA, Av. Presidente Wilson, 231 - 11° andar, 20030-905 / Rio de Janeiro Brasil Nucleo Novo Tempo FIA, Av. Presidente Wilson, 231 - 11° andar, 20030-905 / Rio de Janeiro Brasil Nucleo Agulhas Negras FIA, Av. Presidente Wilson, 231 - 11° andar, 20030-905 / Rio de Janeiro Brasil Nucleo Grey City Fund LLC, 1209, Orange Street, 19801 / Wilmington, New Castle, Delaware USA Nucleo Matterhorn Fund LLC, 1209, Orange Street, 19801 / Wilmington, New Castle, Delaware USA Nucleo Capital Equity Master Fund Ltd, PO BOX 309, Ugland House, KY1-1104 / Grand Cayman Cayman Islands These other funds hold 897,209 shares in Dufry AG (1.67%) .
