The conditional right to acquire new shares pursuant to a Combination Agreement entered with Kuros Biosciences AG (the Issuer ) on 18 December 2016 (the Combination Agreement ) whereas 1 365 000 shares of the Issuer were acquired at closing of the Combination Agreement and 740 000 shares of the Issuer were to be acquires on the achievement of certain product approval milestones has been exercised after full achievement of such milestones. The group of buyers has acquired all shares of the Issuer as provided in the Combination Agreement. The group shall therefore be terminated. A) Incubation B.V., Bilthoven, controlled by (i) Dagomar B.V., Echteld, the Netherlands, a company controlled by Person 1 (Frank-Jan Van der Velden) and (ii) Dr. C.A. van Blitterswijk Holding B.V., Ruigahuizen, the Netherlands, a company controlled by Person 2 (Clemens van Blitterswijk); (B) Aldabra B.V., Amersfoort, the Netherlands, a company controlled by Person 3 (Joost de Bruijn) and (C) Person 4 (Yuan Huipin) shall acquire the shares.
