On 19 January 2021, RELIEF THERAPEUTICS Holding AG ("Relief") and all shareholders of AdVita Lifescience GmbH with address Alte Bundesstraße 20, 79194 Gundelfingen, Germany, ("AdVita") signed a legally binding term sheet in relation to the acquisition of all issued and outstanding shares of AdVita by Relief for the amount of EUR 25,000,000, solely payable in Relief common registered shares, whereby the sellers shall be entitled to the number of Relief shares computed by the lower of (i) the closing price of Relief shares in EUR as of the closing date and (ii) the volume weighted average price aver the 60 trading days preceding the closing, multiplied by the number of Relief shares to equal EUR 25,000,000. The applicable CHF-EUR exchange rate as of the closing date shall be the daily rate of the trading day preceding the closing date, as published by the Swiss Federal Tax Administration (http://www.pwebapps.ezv.admin.ch/apps/rates/index.php?lang=l). Note: The "60 day VWAP" is defined to be the volume-weighted average price (VWAP) of all on-orderbook trades executed during the last 60 trading days at SIX Swiss Exchange, as determined by Bloomberg. Thus, in the case at hand, - the applicable EUR/CHF exchange rate is 1.08817, to the effect that EUR 25 m correspond to CHF 27,204,250; - the applicable closing rate of Relief shares amounts to CHF 0.337 being lower than the volume weighted average price of the 60 trading days preceding the closing. Closing is expected to take place in Q2 of 2021.
