Securities Lending Agreement dated August 30, 2021, between BTGP-BSI Ltd. (the "Lender") and BTG MB Investments LP (the "Borrower"), in which, among others, the Lender agrees to lend 12,000,000 shares issued by EFG International AG to the Borrower. Basic terms of derivative holdings part 2: (ix) 2021 Equity Incentive Plan: total outstanding options: 4,984,608, exercise price restricted stocks with discount at 20%: CHF 0.00, vesting period (A & SM50a): cliff vesting 3 years 10 May 2024, vesting period (C & SM35 & SM50b): one third 10 May 2022, one third 10 May 2023, one third 10 May 2024, vesting period (BM): one third 10 May 2022, one third 10 May 2023, one third 10 May 2024; exercise period (A & SM50a): 12 May 2024 until 11 May 2028; exercise period (SM50b, C & SM35 and BM): one third from 12 May 2022 until 11 May 2028; one third from 12 May 2023 until 11 May 2028 and one third 12 May 2024 until 11 May 2028. BTGP-BSI Limited and Banco BTG Pactual S.A.(collectively referred as BTG). Type of understanding (Part 2): Pursuant to the Escrow Agreement, the Escrow Agent is obliged to exercise the voting rights pertaining to the Escrow Shares in accordance with the instructions of UK Holdco. The Escrow Shares were due to be released to UK Holdco on or around October 31, 2018 (the "Release Date") provided that no claims under the SPA were pending by that date. To the extent to which claims were pending at the Release Date, the Escrow Shares, that are not serving as security for the then pending claims were to be released and the portion of the Escrow Shares that served as security for the then pending claims, are to remain in escrow and will only be released after the pending claims have been resolved. Currently, 30,228,372 EFGI shares are in escrow.
