Acquisition and disposition of shares on behalf of various underlying Clients of State Street group. As noted in Part 2: IN CASE OF INDIRECT PARTICIPATION, State Street group is entitled to exercise voting rights on a discretionary basis. The shares of Swiss Prime Site AG (the "Company") are owned by numerous third party beneficiaries (each a "Client")whose assets are managed on a discretionary basis by various legal entities within the State Street group companies (the "State Street group"). None of the indiviudal Clients holds over 3% of the issued share capital of the Company. The voting rights that are attached to each Client's shareholding in the Company are aggregated and are under the control of State Street Corporation, which is the ultimate parent company of the State Street group. In Part 1 - GROUP SUBJECT TO REPORTING OBLIGATION, State Street group is listed from Person 2 to Person 9. State Street Bank and Trust Company, a subsidiary of State Street Corporation, is the holder of securities subject to an obligation to return under a securities lending agreement, Part 4 (item 1 and 2).
