Change of information/date of transfer of equity securities: In connection with the purchase of S.R.I.F. NV (the Asco Group) by a subsidiary of Montana Aerospace AG (MAAG) under the share purchase agreement (SPA), MAAG has, subject to certain conditions, agreed to perform a planned capital increase on a best efforts basis and MAAG's principle shareholder Montana Tech Components AG (MTC), as part of the IPO lock-up group, has agreed to receive a maximum of 5.4 million ordinary shares (scenario 1). Should such planned capital increase not occur, MAAG would perform an alternative capital increase in which the sellers of the Asco Group will receive a maximum of 6.8 million ordinary shares as part of the consideration under the SPA (scenario 2). On 18 November 2021, MAAG initiated a capital increase and MTC received 5,000,000 new shares by amending and converting an existing hybrid loan. The new shares will be transferred to MTC on 22 November 2021. Thereby, MTC has fulfilled its obligations under scenario 1 the conditions of which, however, have not yet been completely met.
