On December 14, 2021, immediately prior to the publication of the pre-announcement (Voranmeldung) by CSL Limited, CSL Limited and Vifor Pharma AG entered into a transaction agreement regarding the public tender offer for all publicly held registered shares of Vifor Pharma AG submitted by CSL Limited. Around the same time, CSL Limited entered into a tender undertaking with the largest shareholder of Vifor Pharma AG, in which such shareholder undertook to tender its registered shares of Vifor Pharma AG into the offer. The public tender offer of CSL Limited is currently expected to complete around middle of calendar year 2022.
