Valartis Group AG and Avalon Group Park Holding AG have signed an agreement, subject to certain conditions including shareholder's approval, under which Valartis agrees to buyback 1'173'000 Valartis Group AG shares, corresponding to 27.28% of the voting rights, held by Avalon Group Park Holding AG. After closing of the above mentioned agreement, Valartis Group AG, Valartis Group Foundation and Valartis International Ltd (both subsidiaries of Valartis Group AG) will hold a total of 1'460'978 treasury shares, corresponding to 33.98% of the voting rights. These treasury shares are now added to the shareholders mentioned in part 1 as indirectly held shares. Valartis Group AG has the intention to ask for a shareholders' approval to cancel the 1'173'000 acquired shares.
