Under article 20 FinMIO-FINMA, the date of the act which creates the obligation to notify is the day following the end of the additional acceptance period of Newgame SA's tender offer for 28,000,000 shares in GAM Holding AG, i.e. 23 October 2023. The transfer of 28,000,000 shares in GAM Holding AG from tendering shareholders to Newgame SA against payment of the offer price (the "Offer Settlement") will take place after the satisfaction of certain conditions to Newgame SA's tender offer. The Offer Settlement has been postponed to 12 January 2024 and Newgame SA may further postpone the Offer Settlement in accordance with the offer prospectus. Bruellan Corporate Governance Action Fund, George Town, Cayman Islands, an exempted limited company under the provisions of the Company Law (as amended) of the Cayman Islands whose Investment Manager is Bruellan SA (Geneva) fully controlled by Bruellan Holding SA. The beneficial interest of Michael Golan is held as part of an individual retirement account scheme of The Phoenix Insurance Company, Israel.
