Commitment (a) to exercise subscription rights in a contemplated ordinary capital increase, which is planned to take place on 12 December 2024, entitling to subscribe shares in an amount equal to current shareholdings (i.e. 1,701,548 subscription rights each entitling to subscribe one new share) during the subscription rights exercise period, which is expected to begin on 29 November 2024 and to end on 9 December 2024 (both dates inclusive) and (b) to backstop the contemplated ordinary capital increase by subscribing up to 2,500,000 new shares if the shares offered for subscription have not been successfully placed during the subscription rights exercise period, which is expected to begin on 29 November 2024 and to end on 9 December 2024 (both dates inclusive). Commitments are valid until the earlier of the successful implementation of the contemplated ordinary capital increase or 27 March 2025.
