On 17 August 2025, (i) Zenith and u-blox Holding AG entered into a transaction agreement regarding the public tender offer of Zenith for all publicly held registered shares in u-blox Holding AG and (ii) Zenith entered into tender undertakings with the largest shareholder of u-blox Holding AG, as well as certain members of the management and the board of directors of u-blox Holding AG, in which such shareholders undertook to tender their shares into the offer. The tender offer is subject to terms and conditions as well as regulatory approvals customary for this type of transaction and is expected to be settled within the fourth quarter of 2025.
